CONSTITUTION AND BY-LAWS
Springbrook Forest Citizens' Association
We, the residents and property owners of Springbrook Forest, in order to advance the civic interests of the community and its environs, adopt this constitution.
Article I — Name and Object
Section 1. The name of the organization shall be the SPRINGBROOK FOREST CITIZENS' ASSOCIATION.
Section 2. The territory of the community shall be limited to the boundaries of said Springbrook Forest as covered by its (original) Charter, plus the residencies on View Crest Terrace.
Section 3. Membership shall include property owners or residents of the properties within the territory described in Section 2, as well as residents or property owners on Hermleigh Road who have at any time, prior to 1971, been dues paying members of the Springbrook Forest Citizens' Association. Each family membership shall be limited to two votes.
Section 4. The association shall be composed of dues paying members only.
Section 5. Members shall be required to pay dues in the amount determined by the membership. No vote will be taken on the amount of such dues or changes thereto without prior written notification to the membership in the meeting announcement. All dues for the beginning of the Association year become due in October and a 30-day period will be allowed for the collection of said dues. No member having unpaid dues shall have a voice in the November meeting or succeeding meetings.
Article II — Officers
Section 1. The officers shall consist of a President, Vice-President, Secretary and Treasurer, who shall perform all duties incident to such offices. (NOTE: Amended, May 9, 1994).
Section 2. A vacancy in any office, by resignation or otherwise, shall be filled by appointment by the President. A vacancy in the Office of President shall be filled by the Vice-President, if agreeable to that officer; otherwise, by an election at the next regular meeting. An incumbent who so fills such a vacancy shall serve out the unexpired term of the previous President.
Article III — Elections
Section 1. The President shall normally appoint a nominating committee at the March meeting. This committee shall report a slate of officers to the membership at the April meeting.
Section 2. Election of officers shall be held at the May meeting subsequent to the reading of the report of the nominating committee.
Section 3. Where one or more candidate is running for office voting for officers shall be done by secret ballot. A majority vote shall constitute an election. In order to assure the resolution of a tie vote, the President shall refrain from voting for the election of officers except to resolve a tie vote. Members will be permitted to vote in absentia by delivery of a sealed envelope to the President or Secretary of the Association on or before time of voting, voters signature to be on outside of envelope.
Section 4. All elected officers shall serve a term of one year. Such term is to begin upon installation of said officers by the outgoing President at the meeting at which they are elected.
Article IV — Meetings
Section 1. The Association shall meet regularly, the third Wednesday of each month, except during the months of June, July, August, September and December.
Amended in 2005 to 4 meetings per year.
Section 2. The President may in his discretion call a special meeting at any time or postpone a regular meeting for just cause.
Section 3. A special meeting may also be called upon the request of at least five members. Written notice three days prior required.
Article V — Committees
The President shall appoint members to perform functions as may be designated. The President shall also appoint the Chairman of all committees, and he may designate new committees or special committees as the need for such additional functional committees may arise. Such appointees to serve at the pleasure of the President.
Article VI — Parliamentary Rules
The proceedings of the Association shall be governed by and conducted according to the latest edition of Robert's Rules of Order.
Article VII — Order of Business
The order of business shall, unless otherwise determined by the Presiding Officer, without debate be as follows:
- Reading and approval of the minutes
- Report of the Secretary-Treasurer
- Reading of communications
- Reports of committees
- Unfinished business
- New business
Article VIII — Quorum
A quorum of the Association shall consist of any number of members. No important action, however, of a controversial character, unless urgent, should be taken when the attendance is deemed by the President to be insufficient to reflect the views of the entire community.
Article IX — Disbursements
Disbursements of funds of the Association shall be made by the Secretary-Treasurer upon approval of the President.
No appropriation of money shall be made for any purpose other than to defray the expenses of the regular functional activities of the Association, except by a three-fourths vote of the dues paying members present at any meeting.
Article X — Amendments
This document may be amended by a two-thirds vote of those present at any regular meeting, provided the proposed amendment shall have been presented to the Association at a previous meeting.
